Terms of Service

Last updated and effective: October 2, 2026

These Terms of Service ('Terms') are the contract between you and David Investment Group Inc. ('we', 'us'), which operates Fluxo Flow. By creating an account or using the platform, you agree to these Terms. If you don't agree, don't use the platform.

1. Eligibility and your account

You must be at least 18 years old and able to form a binding contract to create an account or use Fluxo Flow. We ask you to confirm your age when you sign up. If we learn that an account belongs to someone under 18, we will close it and delete its data. If you're using Fluxo Flow on behalf of a company, you represent that you have the authority to bind it.

You're responsible for keeping your credentials secure and for all activity that happens under your account. Tell us immediately at security@fluxosuite.com if you suspect a compromise.

2. Your content

You retain ownership of all data you upload, build, run, or generate on Fluxo Flow ('Customer Content'). You grant us a non-exclusive, worldwide license to host, process, transmit, and display your Customer Content solely as necessary to operate the platform for you.

You're responsible for the Customer Content you upload. You represent that you have the rights to use it and that it doesn't violate any law or third-party agreement.

3. Subscriptions, fees, and automatic renewal

  • The Free plan costs nothing and needs no payment method. We may change Free plan limits with reasonable notice.
  • Automatic renewal. Paid plans and add-ons (extra seats, workflow packs) are billed in advance and renew automatically at the end of each monthly or annual period at the then-current price until you cancel. The price and renewal period are shown before you buy.
  • By starting a paid plan or add-on you authorize us, through our payment processor Stripe, to charge your payment method for each renewal period, plus any applicable taxes, until you cancel.
  • Plan changes. Upgrades and downgrades (including switching between monthly and annual billing) take effect immediately. Stripe prorates the difference: you are charged, or credited, for the unused part of your current period. Adding or removing add-ons is prorated the same way.
  • Annual renewal reminder. If you're on an annual plan, we email the workspace's billing contact about 30 days before it renews, with the renewal date, the amount and how to cancel.
  • Price changes. We'll tell you about any price change at least 30 days in advance. A new price applies from your next renewal after the notice period, and you can cancel before then to avoid it.
  • 30-day money-back guarantee. The first payment of any paid plan, monthly or annual, is covered by our 30-day money-back guarantee (see Section 4 and our Refund & Cancellation Policy). Add-ons, marketplace agent purchases and Partner plan fees are not covered.
  • Marketplace agents bought à la carte are one-time purchases. They are not subscriptions and do not renew.
  • When you reach a plan limit (workflows, seats or schedule frequency), we block new usage beyond it until you upgrade or add an add-on.
  • Coupons and promotional credits are non-transferable, have no cash value, and may be revoked for abuse.
  • Plan fees don't include any AI model usage. AI usage is billed separately and directly by your AI provider (see Section 8).
  • All fees are exclusive of taxes. You're responsible for any applicable sales, VAT, or withholding taxes.

4. Cancellation and refunds

You can cancel online at any time, in the same place you manage your plan: Settings → Billing → Manage billing in the Fluxo Flow app opens our payment processor's billing portal, where you can cancel your subscription in a few clicks. You don't need to call or email us. If you have trouble, email billing@fluxosuite.com and we'll cancel it for you.

Cancelling stops the next renewal. Your plan and add-ons stay active until the end of the period you've already paid for; after that the workspace moves to the Free plan.

30-day money-back guarantee. If you ask for a refund within 30 days of the first payment of any paid plan (monthly or annual), we refund that payment in full to the original payment method and cancel the subscription; the workspace then moves to the Free plan. Request it in Settings → Billing or by emailing support@fluxosuite.com or billing@fluxosuite.com. The guarantee does not cover add-ons (extra seats, workflow packs), one-time marketplace agent purchases, renewals or other later payments, and applies once per customer and per workspace. Full details are in our Refund & Cancellation Policy.

Outside the money-back guarantee, and except where a refund is required by law, refunds (including for unused time) are at our discretion and not guaranteed.

We may suspend or terminate your account for material breach of these Terms (including the Acceptable Use Policy and our repeat-infringer policy in Section 7) or for payment failure. We'll give you 7 days' notice and a chance to cure when reasonably possible.

5. Acceptable Use

Use of the platform is also governed by our Acceptable Use Policy. Violating it is a material breach.

6. Intellectual property

The Fluxo Flow platform, including its code, designs, agents, and documentation, is owned by David Investment Group Inc. and protected by copyright, trademark, and other laws. Nothing in these Terms transfers any of those rights to you, except the limited license to use the platform while your account (free or paid) is active.

Feedback you give us about the platform is ours to use without attribution or compensation.

8. AI providers (bring your own key) and AI output

AI features on Fluxo Flow run on AI provider accounts that you connect yourself — for example your own OpenAI, Anthropic or Google API key, added in Settings → AI Providers. You are responsible for that provider account, including complying with the provider's terms and usage policies, all usage charges the provider bills you, and the provider's data retention and processing settings on your account. Fluxo Flowdoes not resell, include, or mark up AI usage, and we're not responsible for a provider's availability, pricing, or handling of the data you send to it.

We send prompts and receive responses on your behalf only through the provider credentials you connect, and only when a workflow, agent, or feature you use calls an AI model. You can disconnect a provider at any time; AI steps then stop until you connect one again.

AI agents on Fluxo Flow produce outputs based on your inputs and their underlying foundation models. We don't guarantee the accuracy, fitness, or non-infringement of AI-generated content. You're responsible for reviewing and validating outputs before relying on them, especially for legal, medical, financial, or safety-critical decisions.

You own the rights to the AI outputs you generate, subject to the foundation model providers' terms.

9. Third-party integrations

When you connect a third-party service (Google, Slack, Stripe, etc.) you're authorising us to interact with that service on your behalf. Your use of those services is governed by their own terms; we're not responsible for their availability or behaviour.

10. Partner-managed workspaces

Some workspaces are created or managed by an agency or other business that offers Fluxo Flow to its own clients under our White-Label Partner Agreement (a "Partner"). If your workspace is managed by a Partner:

  • The Partner is our customer for that workspace. The Partner pays us, chooses the workspace's plan level and gives you first-line support, so contact the Partner first with billing or support questions.
  • Your commercial relationship (what you pay, and for what) is with the Partner, not with us. Our pricing, money-back guarantee and Refund & Cancellation Policy don't apply to what the Partner charges you.
  • The Partner can see metadata about the workspace (such as its name, member count, run health and billing state). Partner admins can also open the workspace in a read-only support mode for up to 1 hour at a time, if support access is allowed. It is on by default for workspaces a Partner creates; the workspace owner can turn it off at any time in Settings, and every support session is recorded in the workspace's activity log.
  • The workspace, its emails and its help links may show the Partner's name and branding instead of ours.
  • If the Partner's agreement with us ends, the workspace stays available read-only for 30 days so you can export your data or move to a direct Fluxo Flow plan with us. We may contact you directly about this.

These Terms, our Acceptable Use Policy and our Privacy Policy still apply to your use of the platform in a Partner-managed workspace.

11. Warranties + disclaimers

We provide the platform "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, we disclaim all warranties — express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We don't warrant that the platform will be uninterrupted, error-free, or that workflow results will be accurate. Elite + Enterprise customers get a separate uptime SLA.

12. Limitation of liability

To the maximum extent permitted by law, our total liability to you under these Terms is limited to the greater of (a) the fees you paid us in the 12 months before the claim arose, or (b) US$100.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data — even if we've been advised of the possibility.

13. Indemnification

You agree to defend, indemnify, and hold harmless David Investment Group Inc. from any claim arising out of your Customer Content, your breach of these Terms or applicable law, or your misuse of the platform. We'll defend and indemnify you for third-party claims that the platform itself infringes their intellectual property, subject to standard carve-outs (you didn't customise, didn't combine with infringing tools, etc.).

14. Governing law + dispute resolution

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in Cook County, Illinois. The parties consent to personal jurisdiction and venue there.

Where arbitration is required by applicable consumer protection law, claims will be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Chicago, Illinois. Each party will bear its own costs, except where the rules or applicable law allocate them otherwise. Class actions and class-wide arbitration are waived to the extent permitted by law.

15. Changes to these Terms

We may revise these Terms over time. Material changes will trigger an email to every workspace owner at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
